These Terms of Service (the “Terms”) are a binding agreement between you and Edgebook LLC, a Wyoming limited liability company (“Edgebook,” “we,” “us”), governing your use of the Edgebook application, websites, and related services (the “Service”). By creating an account, checking the acceptance box at signup, or using the Service, you agree to these Terms and to our Privacy Policy, which explains how we handle your data and is incorporated into these Terms by reference.
If you do not agree to these Terms, do not use the Service.
1. The Service
Edgebook is a research workspace for investors and investment professionals. It lets you write and organize research notes, maintain investment theses, convert source material you provide (pasted text, links, uploaded files, forwarded emails) into AI-generated notes, ask questions answered from your own research, and collaborate with teammates in shared workspaces. Features vary by subscription plan and may change over time as described in Section 12.
2. Eligibility and accounts
- You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is intended for business and professional use.
- If you use the Service on behalf of a firm or other organization, you represent that you have authority to bind that organization, and “you” includes it.
- You are responsible for your account credentials and for all activity under your account. This includes your private Edgebook email-in address, which acts as a credential: anyone who knows it can add content to your account. Keep it confidential and regenerate it from Settings if it is exposed.
- You must provide accurate registration information and keep it up to date.
3. Plans, credits, and billing
Subscriptions
- The Service offers a free plan and paid subscription plans, billed monthly or annually through our payment processor, Stripe. Current plans and prices are shown on our pricing page and in the in-app billing settings.
- Paid subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time in Settings → Plan & billing; cancellation takes effect at the end of the current billing period, and you keep access until then.
- Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial billing periods or unused allowances.
- We may change prices or plan features prospectively. For paid plans, we will give you at least 30 days’ notice before a price increase takes effect, and it will apply from your next billing period. If you do not agree, cancel before the change takes effect.
- Prices exclude taxes; you are responsible for any applicable sales, use, VAT, or similar taxes, which we (or Stripe) may collect where required.
- If a payment fails, we may retry it and pause paid features after a grace period until payment is made. Your content remains accessible and exportable — a lapsed subscription never locks you out of what you wrote.
Credits and fair use
- AI actions (for example, generating a note from a source, asking a question of your research, or running a thesis check) are metered in credits. Monthly plan credits reset each calendar month and do not carry over except where your plan expressly includes rollover. Purchased top-up credits carry forward until used or your account is closed.
- Credits have no cash value, are not transferable, and are not redeemable or refundable.
- Plans described as “unlimited” are subject to fair use: per-user daily limits and platform-level safeguards designed to prevent abuse and automated over-consumption, set well above genuine individual research use. We may throttle or suspend usage that circumvents metering or materially exceeds fair use.
Trials
New personal accounts include a 14-day trial of the Pro plan, no payment method required. When the trial ends, your account moves to the free plan automatically unless you subscribe — nothing is charged and your content is unaffected.
4. Your content
- “Content” means everything you or your teammates submit to the Service: notes, theses, workspaces, tags, uploaded files, pasted text, submitted links, imported archives, and emails you forward to your Edgebook address.
- You own your Content. These Terms do not transfer any ownership of it to us.
- You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, and display your Content solely as needed to provide, secure, and support the Service — including processing it with the third-party AI providers listed in our Privacy Policy to deliver the features you invoke (note generation, search, question answering, thesis checks).
- We do not use your Content to train AI models, and our AI providers are engaged on API terms under which they do not use it to train theirs.
- In a shared edgebook, Content is visible to that edgebook’s members according to their roles. Whoever administers a shared edgebook is responsible for who is invited into it.
- You can delete Content at any time, and it will be removed as described in the Privacy Policy. You are responsible for maintaining any copies you need.
5. Your responsibilities for content
Edgebook is designed for research material you are entitled to use — your own writing, and third-party material you have the right to process. You represent and warrant that:
- you have all rights, licenses, and permissions needed to submit your Content to the Service and have it processed as described — this includes broker research, expert-call and earnings transcripts, paid-subscription material, and anything received under a confidentiality obligation;
- your use of the Service complies with the laws and regulations that apply to you and with your obligations to your employer or firm, including any compliance, record-keeping, information-barrier, or confidentiality policies; and
- your Content does not infringe anyone’s intellectual-property, privacy, or other rights, and does not include material non-public information you are not permitted to possess or use.
We respect intellectual-property rights. If you believe content on the Service infringes your copyright, email admin@edgebook.app with enough detail to identify the material and your claim; we will investigate, remove infringing material where appropriate, and may terminate repeat infringers’ accounts.
6. Acceptable use
You agree not to:
- use the Service for any unlawful purpose, including market manipulation or trading on information you are not permitted to use;
- probe, scan, or test the vulnerability of the Service, bypass authentication or tenant isolation, or access data belonging to another customer;
- circumvent usage metering, credit limits, rate limits, or plan restrictions, or share one account or seat among multiple people;
- scrape the Service, or access it by automated means other than our intended interfaces;
- resell, sublicense, or provide the Service to third parties as a service bureau, or use it to build a competing product;
- upload malware or content designed to disrupt the Service, or send spam or bulk unsolicited email through Service features (such as note sharing or invitations); or
- misrepresent AI-generated output as the work of a person where that matters, or remove attribution the Service attaches to sources.
7. AI features
- AI-generated notes, answers, summaries, classifications, and thesis analyses are produced automatically from the material you provide. They may be inaccurate, incomplete, or miss context, and they can misstate numbers even when instructed not to. Verify AI output against the underlying source before relying on it.
- AI answers in Edgebook are grounded in your own research content; they are only as complete as what you have put in.
- You are responsible for how you use AI output, including for any decision made or document produced from it.
8. Not investment advice
Edgebook is a productivity tool, not an investment adviser, broker-dealer, or fiduciary. Nothing in the Service — including AI-generated notes, answers, thesis checks, or any data we surface — is investment, legal, tax, or accounting advice, a research report, or a recommendation or solicitation to buy, sell, or hold any security or other instrument. The Service organizes and analyzes your research; investment decisions, and compliance with the rules that govern them, are yours alone. We accept no liability for trading or investment outcomes.
9. Third-party data and services
The Service surfaces material from third-party sources — for example, SEC EDGAR filings, earnings-call transcripts, and security identifiers — and depends on third-party providers (hosting, AI models, payments, email delivery). Third-party data is provided “as is”: it may be delayed, incomplete, or inaccurate, may be subject to the provider’s own terms, and may become unavailable if a provider changes or discontinues access. We are not responsible for third-party content or services.
10. Our intellectual property
The Service — its software, design, and branding — is owned by Edgebook and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. No other rights are granted. If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.
11. Confidentiality of your research
We treat your Content as your confidential information. We access it only to operate and secure the Service, with your permission when you ask for support, or where required by law — and we never sell it or make it available to other customers.
12. Changes to the Service
We are actively developing Edgebook and may add, change, or remove features. We will not materially reduce the core functionality of your paid plan during a period you have paid for without notice and, where the reduction is material, the option to cancel and receive a pro-rata refund of prepaid, unused fees for the affected period.
13. Term and termination
- By you: you may stop using the Service and cancel your subscription at any time; you may request account deletion by emailing support@edgebook.app.
- By us: we may suspend or terminate your access immediately if you materially breach these Terms, create risk or legal exposure for us or other users, or fail to pay; we may otherwise terminate with at least 30 days’ notice, in which case we will refund any prepaid, unused fees.
- After closure of your account, you have 30 days to request an export of your Content, after which we may delete it as described in the Privacy Policy.
- Sections that by their nature should survive termination (including 4–5, 8, 10, and 14–17) survive.
14. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT AI OUTPUT WILL BE ACCURATE OR RELIABLE, OR THAT THIRD-PARTY DATA WILL BE CURRENT OR COMPLETE.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL — AND WE ARE NOT LIABLE FOR ANY TRADING OR INVESTMENT LOSSES, EVEN IF ADVISED OF THE POSSIBILITY; AND (b) OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND US $100. THESE LIMITS DO NOT APPLY WHERE THEY CANNOT LAWFULLY BE LIMITED, AND NOTHING IN THESE TERMS LIMITS LIABILITY FOR A PARTY’S FRAUD OR WILLFUL MISCONDUCT.
16. Indemnification
You will defend and indemnify Edgebook against third-party claims, and resulting damages and reasonable costs, arising from your Content, your breach of Sections 5 or 6, or your violation of law or of a third party’s rights — provided we notify you promptly and let you control the defense (we may participate with our own counsel at our expense).
17. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, United States, excluding its conflict-of-laws rules (and, if you are a consumer in a jurisdiction whose law grants you mandatory protections, those protections are unaffected). Before filing a claim, you agree to try to resolve the dispute informally by emailing admin@edgebook.app; if it is not resolved within 30 days, either party may proceed. Except where another forum is required by law, disputes will be resolved exclusively in the state or federal courts located in Wyoming, and both parties consent to their jurisdiction. Either party may seek relief in small- claims court or injunctive relief for misuse of intellectual property or confidential information in any court of competent jurisdiction.
18. Changes to these Terms
We may update these Terms from time to time. If a change is material, we will notify you at least 14 days before it takes effect — by email or an in-app notice — and the new version will apply from its effective date. Continued use of the Service after that date constitutes acceptance. The current version is always available at edgebook.app/terms.
19. General
- These Terms, together with the Privacy Policy and any plan-specific terms presented at purchase, are the entire agreement between you and Edgebook about the Service.
- You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets with notice to you.
- If a provision is found unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver of it.
- Neither party is liable for delay or failure caused by events beyond its reasonable control.
